Critical Hours Terms and
Conditions
(for workshops & website use)
Welcome to Critical Hours Educational Services. If you are
registering for a course, seminar, camp, workshop, or using any
other academic consulting services (including tutoring and
proof/editing service), we are now asking you to read these Terms
and Conditions (the "Agreement").
You agree to the following:

You are at least 18 years old, and that you understand and intend
that this Agreement is legally binding and the equivalent of a
signed, written contract; and/or,
- You are the
parent/guardian registering a minor/youth (individual under age of
eighteen) and that you have the legal right to act as an agent on
behalf of that minor; and,
- That this
Agreement applies to both parent/guardian and the youth
participant; and,

You will use all course materials, and participate in Critical
Hours courses, in a manner consistent with applicable laws and
regulations and in accordance with this Agreement and any other
applicable rules, guidelines or other conditions that govern your
participation in a Critical Hours personal development course.
If you do not agree with this Agreement, please do not continue with
the registration process. You should be aware, however, that the use
of any Critical Hours course materials is subject to this Agreement.
This Agreement will always be available for your review as a link at
the bottom of the www.criticalhours.org home page. Please carefully
review the following terms and conditions.
SCOPE OF AGREEMENT
Critical Hours Education Service, an Illinois, Jackson County,
sole-proprietorship operated by Craig Engstrom ("Critical Hours,"
“Craig Engstrom,” "we" or "us") provides personal development
services, either alone or in conjunction with its affiliates, agents
and partners. This Agreement applies to Critical Hours’s web site,
other electronic content, services and tools, and all course
materials provided to you by Critical Hours. This Agreement applies
to all personal development services regardless of the means by
which you access such services, and expressly applies to all
interactions and telephone calls between you and Critical Hours and
its employees, agents and affiliates.
We may also ask you to follow additional rules, guidelines or other
conditions that govern the use of a particular personal development
service or course at the time you register for or use that service
or course. Any new courses that you register for will automatically
be governed by this Agreement.
REVISIONS AND RELATION TO OTHER AGREEMENTS OR DISCLOSURES
Critical Hours may revise this Agreement at any time, and you agree
to be bound by future revisions. It is your responsibility to visit
the link at the bottom of the www.criticalhours.org home page
periodically to review the most current terms and conditions.
REGISTRATION INFORMATION, PRIVACY AND PERSONALIZATION
When you register for a Critical Hours course, we may ask you to
give us certain identifying information ("Registration"). You agree
to provide true, accurate, current and complete information about
yourself. You also agree not to impersonate any person or entity,
misrepresent any affiliation with another person, entity or
association, use false headers or otherwise conceal your identity
from Critical Hours for any purpose. We agree to treat with care the
information you entrust to us, in accordance with the disclosures we
give during the Registration process and in our Privacy Policy.
For your protection and the protection of our other Critical Hours
clients, we ask you not to share your Registration information
(including passwords, User Names, and screen names) with any
other person for the purpose of facilitating their access and
unauthorized use of Critical Hours services. You alone are
responsible for all transactions initiated, messages posted,
statements made, or acts or omissions that occur within any Critical
Hours course through the use of your Registration information.
CRITICAL HOURS'S LICENSE TO YOU
Critical Hours grants you a single, non-exclusive, non-transferable
and limited personal license to use the course materials provided to
you upon Registration only for your own non-commercial personal use.
This license is conditioned on your continued compliance with the
terms and conditions in this Agreement. You agree and acknowledge
that all course materials provided to you by Critical Hours ("Course
Materials") represent the intellectual property of Critical Hours,
and such Course Materials may only be used by you in connection with
a Critical Hours course/seminar. You agree to retain all copyright
and other proprietary notices contained on the Course Materials.
Except as otherwise permitted by Critical Hours, no Course Materials
may be copied, reproduced, republished, uploaded, posted,
transmitted, or distributed in any way. Except as provided in this
Agreement, you may not use, sell transfer, modify or copy the Course
Materials without Critical Hours's written consent. You may not use,
distribute, modify, transmit, or post the content of the Course
Materials for public or commercial purposes, including any text,
images, audio, or video without Critical Hours's written permission.
USE OF AFFILIATES
Critical Hours may use third parties and agents to assist in
providing certain courses with or without notice to you (each, an
"Affiliate Course Provider"). Critical Hours may also change
Affiliate Course Providers or may itself provide a course without
the assistance of such third party. You consent and authorize
Critical Hours to delegate the authorizations you provide to
Critical Hours to its Affiliate Course Provider(s) as Critical Hours
deems necessary or desirable to provide the applicable Critical
Hours course to you. You agree that the terms and conditions of this
Agreement, including any of the other terms, conditions, warranty
disclaimers and liability disclaimers incorporated into this
Agreement, inure to the benefit of such Affiliate Course Providers
and such Affiliate Course Providers are deemed to be third party
beneficiaries of this Agreement, including any other terms,
conditions, warranty disclaimers and liability disclaimers
incorporated into this Agreement. You also agree that all references
to "Critical Hours" within this Agreement and any business terms are
also deemed to include, where applicable, Critical Hours's agents,
such as the Affiliate Course Providers.
To protect the privacy and security of your personal information,
Affiliate Course Providers will only be authorized to use or
maintain your personal information only in accordance with Critical
Hours's privacy policy.
NOTICES, COMMUNICATIONS, AND ELECTRONIC SIGNATURES
You agree to accept all communications from us regarding use of the
Critical Hours courses at the addresses you provide during
Registration. Critical Hours is entitled to rely on the e-mail
address and U.S. mail address that you last provided to us. You
agree to waive all claims resulting from failure to receive
communications because of changes in your e-mail or U.S. mail
address. From time-to-time we would like to send you information
about Critical Hours's courses and services. If you register for a
Critical Hours course, you are granting Critical Hours permission to
communicate with you by e-mail. You can opt not to receive such
information from us in the future by following the instructions in
any e-mail that we send to you.
JURISDICTION & VENUE
You agree that any legal action brought against Critical Hours
Educational Services or Craig Engstrom shall be governed by the
laws of the State of Illinois without regard to its conflict of
law principles. You agree that the sole jurisdiction and venue
for any litigation arising from your use of or orders made on
Critical Hours Educational Services site shall be an appropriate
federal or state court located in Jackson County, Illinois.
ARBITRATION
By using this Site, you agree that Critical Hours Educational
Services, at its sole discretion, may require you to submit any
disputes arising from the use of this Site, or these Terms and
Conditions concerning or, including disputes arising from our
services, to final and binding arbitration under the International
Rules of Arbitration of the American Arbitration Association, by one
or more arbitrators appointed in accordance with the said Rules.
Notwithstanding these rules, however, such proceeding shall be
governed by the laws of the state as set forth in the previous
section
Any award in an arbitration initiated under this clause shall be
limited to monetary damages and shall include no injunction or
direction to any party other than the direction to pay a monetary
amount. Further, the arbitrator(s) shall have no authority to award
punitive, consequential or other damages not measured by the
prevailing party's actual damages in any arbitration initiated under
this section, except as may be required by statute.
